Merchant Subscription Agreement · Applies to: schemebook.app, console.schemebook.app, pay.schemebook.app
The short version
- SchemeBook is business software. Your business subscribes to it; the first 3 months are free and pricing is agreed with you before any charge.
- SchemeBook charges no commission, no percentage and no deduction on any payment your customers make. Customer payments settle directly from your customers to your own bank account through Setu.
- Your data is yours. Export it any time, including for 30 days after you leave.
- Running a lawful scheme is your responsibility. SchemeBook is a management tool, not legal cover.
- Our liability is capped at the subscription fees you paid in the 3 months before the claim.
- Governing law: India. Seat: Visakhapatnam. Read with the Privacy Policy, Data Processing Addendum and Refund & Cancellation Policy.
1.1 Who this agreement is between
These Terms are a binding agreement between Tangudu Systems Private Limited (CIN U62011AP2026PTC128026, registered office at SF-02, Avonlea Nest, Madhurawada, Visakhapatnam 530048, Andhra Pradesh) ("SchemeBook", "we", "us") and the business that creates a workspace on SchemeBook ("you", the "Merchant"). By creating a workspace at /apply, accepting these Terms at /activate/terms, paying an invoice, or using the Platform, you accept these Terms on behalf of the Merchant and confirm you are authorised to do so.
If the Privacy Policy, DPA or Refund Policy addresses a subject in more detail, that document prevails on that subject.
1.2 Definitions
- Platform — the SchemeBook software-as-a-service: the merchant console (
console.schemebook.app), the customer portal and payment links (pay.schemebook.app), the public site, APIs, notifications, receipts and documentation. - Merchant — the business (proprietorship, partnership, LLP or company) holding a SchemeBook workspace, including its owners, branches and staff users.
- Customer — an end customer of the Merchant who is enrolled in a Scheme. Customers are the Merchant's customers, not SchemeBook's.
- Scheme — an instalment plan the Merchant designs and operates under which a Customer pays advances towards a future purchase of goods or services from the Merchant, with any bonus, discount or benefit the Merchant chooses to offer.
- Enrollment — one Customer's membership in one Scheme, pinned to the Scheme version in force when they joined.
- Merchant Data — everything entered into or generated in the Merchant's workspace: customer records, Schemes, enrollments, payments, receipts, reports, audit entries and staff activity.
- Subscription — the Merchant's right to use the Platform, at the monthly price agreed and confirmed under §1.4.
1.3 Eligibility, accounts and staff
The Platform is for business use only. You may register only if you operate a genuine business selling goods or services, are 18 or older, and can bind that business.
You agree that the business details you provide and that we verify through Setu — PAN, GSTIN, Aadhaar of the signatory via DigiLocker, and the settlement bank account — are accurate and belong to the Merchant. We may refuse, suspend or close workspaces created with false or borrowed details.
You are responsible for everything done under your workspace:
- each staff member uses their own login; logins are never shared;
- you tell us promptly at hello@schemebook.app if you suspect unauthorised access;
- the acts and omissions of your staff are treated as your own;
- when roles are introduced, you assign them so staff see only what their job needs.
1.4 Free months, pricing and billing
Free period. Every new workspace gets 3 months free from creation. Cash collection, receipts, reminders, import, reports and the customer portal work from day one. Nothing is charged during the free period.
Agreed pricing. SchemeBook does not publish a self-serve price list in this version. Before the free period ends, SchemeBook will contact you to agree a monthly price. That price is recorded on the Platform and takes effect only after you confirm it in the console. If no price is agreed and confirmed, the workspace continues without online (UPI) collection and no charge is made.
Card on file and e-mandate. To keep UPI collection live after the free period, a business credit or debit card must be on file, tokenised by our billing gateway (Razorpay, contracted through IDFC FIRST Bank) and registered as an RBI-compliant card e-mandate. SchemeBook never sees or stores your card number or CVV. Every charge is preceded by a pre-debit notice to your billing email at least 24 hours ahead. Charges never exceed the confirmed monthly price, and any single charge above ₹15,000 requires your fresh OTP approval.
GST. All prices are in Indian Rupees and exclusive of GST, charged additionally at the applicable rate. We issue a tax invoice for each charge; place of supply follows the GSTIN you record in Settings (Andhra Pradesh → CGST + SGST; other states → IGST; no GSTIN → B2C invoice).
Price changes. We give at least 30 days' notice of any change to an agreed price. A change applies only from the next monthly cycle after that notice.
Non-payment. If a charge fails, we retry and notify you. After 7 days' written notice we may suspend online collection and console access; your Merchant Data remains intact during suspension. 60 days of continued non-payment after suspension may be treated as termination under §1.11.
No transaction fees. SchemeBook charges nothing on any Customer payment. Setu's UPI transaction charges, if any, are billed by Setu to you under your own agreement with Setu (§1.9).
1.5 Acceptable use and Scheme compliance
You will use the Platform only to run lawful Schemes for genuine Customers of your own business. You must not:
- operate a Scheme that is unlawful where it is offered — including a chit or kuri (Chit Funds Act, 1982 and state rules), a prize chit or money circulation scheme (Prize Chits and Money Circulation Schemes (Banning) Act, 1978), or any collection that amounts to accepting deposits (Companies Act, 2013 and the Companies (Acceptance of Deposits) Rules, 2014; Banning of Unregulated Deposit Schemes Act, 2019; RBI or state directions);
- promise interest, guaranteed returns or repayment of money as such — benefits under a Scheme must be a discount, bonus or benefit on a purchase of goods or services from you;
- run any Scheme with a tenure longer than 12 months, or collect advances not tied to a purchase from your business;
- use the Platform for lending, investment products, gold-rate speculation, or anything other than instalment plans towards your own goods or services;
- send marketing through the reminder channels, or contact Customers who have opted out;
- upload unlawful, infringing or malicious content; probe, overload or attack our infrastructure; or access another Merchant's data;
- copy, resell, sublicense, white-label or reverse engineer the Platform, or use it to build a competing product.
Scheme confirmations. By accepting these Terms you confirm, for every Scheme you configure, that: (a) each Customer payment is an advance towards the purchase of goods or services from you, not a deposit; (b) the Scheme is not a chit; (c) the tenure is 12 months or less; (d) refunds and early-exit settlements are honoured according to the Scheme rules the Customer accepted; and (e) you hold any licence, registration or approval your state requires.
SchemeBook is a management tool, not a regulatory shield. Configuring a Scheme in the software does not make it lawful. Designing your Schemes, obtaining any registrations and complying with consumer-protection, deposit, chit-fund and tax laws is entirely your responsibility. We do not give legal, tax or financial advice. We may suspend or terminate a workspace used for an unlawful Scheme without notice where continuing would expose Customers, us or our payment partners to harm, and we will cooperate with lawful requests from Indian authorities.
1.6 Your data — ownership, export and audit
You own Merchant Data. You grant us a limited, non-exclusive licence to host, process, back up, display and transmit it only to provide the Platform, support you and meet legal obligations.
Export. You can export customers, enrollments, payments and aging as CSV at any time from Settings, and for 30 days after termination by request. After that window we delete Merchant Data under the retention schedule in the Privacy Policy, except records we must keep by law (tax invoices, audit entries required for our own compliance).
Audit trail. Financial records on the Platform are immutable by design; corrections happen by reversal entries, never edits. You accept this as a feature of the service.
Your Customers' data. You confirm you have the right to enter Customers' details and to have Scheme communications sent to them. Between you and us, you are the Data Fiduciary for Customer data and we are your Data Processor, under the DPA.
1.7 Our intellectual property
The Platform, its code, design, documentation, and the SchemeBook name and marks belong to Tangudu Systems Private Limited. Your Subscription is a licence to use the Platform for your own business, not a transfer of any right. Feedback you give us may be used to improve the product without obligation or attribution.
1.8 Availability, maintenance and support
We aim to keep the Platform available around the clock, but it is provided "as is" and "as available" to the extent permitted by law. Planned maintenance is scheduled in low-traffic IST windows with notice in the console; emergency maintenance may occur without notice. Support is by WhatsApp and email at hello@schemebook.app, Monday to Saturday, 10:00–19:00 IST.
1.9 Third-party services
- Setu (UPI aggregator) processes Customer UPI payments under your own sub-merchant agreement with Setu, accepted as part of activation. Settlements go from Setu to your verified bank account. SchemeBook never holds, pools, routes or deducts from Customer money. Setu's charges, settlement timing, chargebacks and disputes are between you and Setu; we will help you troubleshoot. Setu's sub-merchant terms, as presented to you and accepted at activation, form part of this agreement and prevail over these Terms on matters of UPI processing and settlement.
- Razorpay (contracted through IDFC FIRST Bank) tokenises your business card and runs the e-mandate for SchemeBook's own subscription billing. This gateway never touches Scheme payments.
- Verification providers — NSDL (PAN), GSTN (GSTIN), DigiLocker (Aadhaar), and your bank via penny drop — are called through Setu with your consent, only to verify your business.
- Meta (WhatsApp Cloud API) and MSG91 (SMS, email) deliver OTPs, reminders and receipts. Delivery depends on those networks and telecom rules; a rejected WhatsApp send falls back to SMS.
- Clerk provides staff sign-in for the console.
- Vercel and Supabase host the Platform and its database in Mumbai, India.
We are not liable for outages or changes at these providers but will adapt the Platform and keep you informed.
1.10 Limitation of liability and indemnity
To the maximum extent permitted by Indian law:
- our total liability arising out of the Platform is limited to the subscription fees you paid us in the 3 months before the event giving rise to the claim, and to ₹0 during the free period;
- we are not liable for indirect or consequential loss, lost profits, lost business or goodwill;
- we are not liable for your obligations to Customers under any Scheme — bonus commitments, maturity benefits, early-exit settlements, or purchase disputes;
- we are not liable for penalties, orders or losses arising from your non-compliance with laws applicable to your Schemes;
- nothing limits liability that cannot be limited by law, including for fraud.
You will indemnify Tangudu Systems Private Limited, its directors and staff against claims, penalties, losses and reasonable legal costs arising from (a) the design or operation of your Schemes, including regulatory action or Customer claims; (b) your breach of these Terms or applicable law; (c) data you enter without the right to; or (d) misuse of your workspace by anyone you gave access to.
1.11 Suspension and termination
By you. Cancel any time from Settings or by email. Cancellation takes effect at the end of the current monthly cycle; you keep access until then. Refunds are governed by the Refund & Cancellation Policy.
By us. We may terminate for material breach not cured within 15 days of written notice; immediately, without cure, where the workspace is used for an unlawful Scheme, poses a security risk, or where law or a payment partner requires it; and for non-payment under §1.4.
Consequences. Access ends for you and your Customers, the 30-day export window opens, unpaid fees fall due, and we cancel your card e-mandate. §1.5–1.7 and §1.10–1.13 survive termination.
1.12 Changes
We improve the Platform continuously and may add, change or retire features, without materially reducing the core functions you subscribed for: scheme setup, enrollment, collections, receipts, reminders, reports and the customer portal. We may update these Terms with at least 30 days' notice by email and in the console for material changes. Continued use after the effective date is acceptance; you may cancel before then.
1.13 Governing law and disputes
These Terms are governed by the laws of India. The parties will first try to resolve any dispute in good faith through the contacts in §1.14 for at least 30 days. Unresolved disputes are referred to arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by mutual agreement, seated in Visakhapatnam, conducted in English; the courts at Visakhapatnam have exclusive jurisdiction for interim relief and enforcement.
